1. Who we are and what the service is
Nexxo Assist is a cloud platform for building artificial intelligence agents that serve the visitors of your website, check your systems (online stores, ERP, content) and take actions with your permission. The service is provided by Nexxo Assist, an Argentine company (“Nexxo Assist”, “we”, “us”).
These terms are a contract between you (the person or company that holds the account, “you” or “the customer”) and Nexxo Assist. By creating an account or using the service, you accept these terms and the Privacy policy. If you use the service on behalf of a company, you represent that you are authorized to bind it.
2. Your account
You need an account to use the platform. You must be at least 18 years old and give us true, up-to-date information.
- You are responsible for keeping your password safe and for everything done from your account, including by the team members you give access to.
- Let us know right away at [email protected] if you believe someone accessed your account without permission.
- We may ask you to verify your email or your identity before enabling certain features.
3. Plans and prices
We offer a free plan and paid plans. The limits of each plan (agents, messages per month, connections, among others) and their prices are on the pricing page and on your account's billing screen.
- Prices are in US dollars (USD).
- Your bank, card issuer or PayPal may apply currency conversion fees or tax withholdings that are outside our control.
- The free plan may have usage limits, which we may change with the notice set out in section 13.
- If we change the price of a paid plan, we will email you at least 30 days in advance. The new price applies from the first renewal after that period and, if you don't agree, you can cancel before then.
4. PayPal payments and automatic renewal
Paid plans are purchased as a PayPal subscription with automatic renewal: at the end of each period (monthly or yearly, as you choose) PayPal charges the next period to the same payment method until you cancel.
- A paid plan is activated only once PayPal confirms the payment to us. While the payment is pending, the account stays on its previous plan.
- Payments are processed by PayPal under its own terms. We do not see or store your full card or PayPal account details.
- Upgrades apply when PayPal confirms the payment. Downgrades apply at the end of the period already paid.
- We email you a receipt for every charge. PayPal also sends you its own.
5. Failed or unpaid payments
If PayPal informs us that a charge was declined, reversed or left unpaid, the account is suspended immediately: your agents stop answering and you can only sign in to settle the payment or cancel.
Once the payment is settled, the account is reactivated with its settings and data. If a suspension for non-payment lasts more than 60 days, we may close the account and delete its data, emailing you beforehand.
6. Cancelling your subscription
You can cancel at any time, from Billing in your account or from the Cancel subscription page, through the same channel you used to subscribe and at no cost.
- Cancelling stops the automatic renewal. You keep the plan until the end of the period already paid, after which the account moves to the free plan.
- We do not refund periods already started or unused time, except as provided in section 7 or where the law requires it.
- When moving to the free plan, if your account exceeds its limits, some agents or connections may be paused until you adjust them.
7. Right of withdrawal
If you are a consumer under Argentine Consumer Protection Law 24,240, you may withdraw from a paid plan within 10 calendar days of purchasing it, without giving reasons and at no cost, under article 34 of that law and article 1110 of the Argentine Civil and Commercial Code.
To do so, use the Cancel subscription page or email us at [email protected] within that period. We will refund the amount paid to the same payment method.
8. Acceptable use
Use the service lawfully and responsibly. In particular, you may not use it to:
- Send spam, unsolicited messages or misleading content.
- Distribute content that is illegal, violent, discriminatory, sexually exploitative or that infringes third-party rights.
- Collect personal data without a valid legal basis or without informing people.
- Impersonate another person or company, or hide that a conversation is handled by AI where the law requires disclosure.
- Attempt unauthorized access to the platform, other accounts or third-party systems, or interfere with their operation.
- Reverse engineer the service, resell it without prior agreement or use it to build a competing product.
- Exceed plan limits through workarounds (for example, several free accounts for the same business).
9. Suspension and termination of accounts
We may suspend or close an account, fully or partially, in these cases:
- Declined, reversed or unpaid payment (section 5).
- Breach of these terms or of the acceptable use rules.
- Illegal or fraudulent activity, or false account information.
- Risk to the security of the platform, other customers or third parties.
- Use that affects the service for other customers.
- An order from a competent authority.
- Chargebacks or payment disputes opened without a valid reason.
Whenever possible, we will email you first and give you a reasonable period to fix the situation. In serious or urgent cases we may act immediately.
You can also close your account at any time. When you do, we delete your data as described in the Privacy policy.
10. Your content and your AI keys
Everything you upload or connect (documents, catalogs, instructions, conversations, data from your systems) remains yours. You allow us to host, process and display it only as needed to provide the service.
- You are responsible for having the right to use that content and for complying with data protection laws towards your website's visitors. For those conversations, we process the data on your behalf.
- You can use your own AI provider keys (OpenAI, Anthropic, Google, Groq, OpenRouter or others) or your own server. Each provider bills the use of those keys directly to you under its own terms.
- We store your keys encrypted and use them only to run your agents.
- AI answers may contain errors. Review your agents' settings and use prior approval for important actions (orders, changes in your systems).
11. Availability and liability
We work to keep the service available at all times, but there may be interruptions due to maintenance, failures or causes beyond our control (hosting, AI or payment providers, or the platforms you connect). We do not guarantee that the service will run without interruptions or errors.
- We are not liable for failures of third-party services, for answers generated by AI models or for decisions made based on them.
- To the extent permitted by law, our total liability to you is limited to the amount you paid us in the 12 months before the event giving rise to it, and we are not liable for lost profits or indirect damages.
- Nothing above limits the non-waivable rights you have as a consumer or liability for willful misconduct or gross negligence.
12. Intellectual property
The platform, its code, its design, the Nexxo Assist brand and its content belong to Nexxo Assist or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the service while your account is active.
If you send us suggestions or feedback, we may use them to improve the service without any obligation to you.
13. Changes to these terms
We may update these terms. If a change is significant, we will email you 30 days in advance. If you don't agree, you can cancel before the change takes effect; if you keep using the service afterwards, you are deemed to accept it.
Minor corrections (wording, typos, contact details) may apply without prior notice. The effective date of each version is shown at the top of this page.
14. Governing law, jurisdiction and contact
These terms are governed by the laws of the Argentine Republic. Any dispute falls under the ordinary courts of the Autonomous City of Buenos Aires. If you are a consumer, the court of your domicile has jurisdiction, under article 36 of Law 24,240.
If you are a consumer, you may also file complaints with Argentina's Consumer Protection authority.
The Spanish version of these terms is binding. Versions in other languages are courtesy translations.
